- Lead and manage the legal department, overseeing all corporate, commercial, litigation, and regulatory matters.
- Provide strategic legal advice to the Board of Directors and executive leadership on business initiatives, partnerships, compliance, and risks.
- Ensure legal risk management across business units and functions, including contract review, dispute resolution, and regulatory affairs.
- Lead internal policy development to ensure alignment with current laws, ethics, and governance standards.
- Act as the primary liaison between the Board of Directors, shareholders, regulators (OJK, IDX), and other stakeholders.
- Ensure full compliance with capital markets regulations and corporate governance frameworks under OJK, IDX, and other relevant bodies.
- Manage corporate actions, including GMS (RUPS), public disclosures, and investor relations coordination from a governance perspective.
- Prepare and maintain key corporate documents including Board charters, minutes of meetings, disclosures, and internal governance protocols.
- Strengthen the company's corporate image and external communication, ensuring consistency and transparency in all public and investor-facing messaging.
- Collaborate with Investor Relations, Communications, and other business units to ensure alignment in corporate narrative and brand reputation.
- Support crisis management communication and contribute to media strategy in alignment with legal and reputational risk.
- Bachelor's degree in Law (Master's or international qualifications preferred); licensed to practice law in Indonesia.
- Minimum of 16 years of progressive legal and governance experience, with at least 5 years in a leadership role within a public company or listed environment.
- Strong understanding of capital market laws, OJK/IDX regulations, public company governance, and corporate actions.
- Proven experience managing relationships with regulators, board members, and investors.
- Excellent leadership skills with the ability to influence at the C-level and lead cross-functional teams.
- Strong public communication, presentation, and stakeholder management capabilities.
